Six agreements that hold the structure together.
The backbone. Defines the non-clinical services the MSO provides, the term, and a fee set at fair market value and kept separate from clinical decision-making.
Sits between the physician owner and the PC. Governs what happens to the shares on death, disability, or loss of license. The MSO is not a party.
Every treating clinician contracts with the PC, not the MSO. Scope of practice, supervision, compensation, and post-term restrictions.
Separate from ownership. Names who signs off on protocols, quality review, and clinical oversight — and what they're paid for that time.
Required the moment the MSO touches scheduling, billing, or records. Mirror it down to every downstream vendor.
Brand and IP license, sublease of space and equipment, and any working-capital note from the MSO to the PC. Written, priced, and signed.
